Authorization
By providing a payment method and enabling Services within the Pingtree application, you ("User," "Client") expressly authorize Pingtree, LLC ("Pingtree") to charge your designated payment method in accordance with these Billing Authorization Terms.
1. Wallet-Based Billing Model
Pingtree operates on a pre-paid wallet model for rate-based features and services.
- Initial Funding: You must maintain a positive balance in your account "Wallet" to access and use rate-based Services.
- Real-Time Deductions: Upon the use of any feature or service, the corresponding rate (as defined in your account console) will be deducted immediately from your Wallet balance.
- Wallet Finality: All wallet recharges and usage-based deductions are final and non-refundable. Pingtree does not provide pro-rated refunds for unused wallet balances upon account termination or cancellation.
2. Automated Recharge Authorization ("Auto-Recharge")
To prevent loss of service or disruption to your automated marketing workflows, Pingtree utilizes an automated recharge mechanism.
- Recharge Trigger: When your Wallet balance falls below your manually specified "Low Balance Threshold," Pingtree is authorized to automatically charge your payment method for the "Auto-Recharge Amount" you have selected.
- Continuous Authorization: This authorization remains in effect until you manually disable the Auto-Recharge feature or cancel your account. You acknowledge that failure to maintain a valid payment method for Auto-Recharge may result in immediate suspension of Services.
- Frequency: Charges may occur multiple times within a single billing cycle depending on your actual usage of the Services.
3. Subscription Fees
In addition to usage-based Wallet deductions, you authorize Pingtree to charge your payment method for recurring monthly, quarterly, or annual subscription fees as selected during sign-up.
- Auto-Renewal: Subscriptions will automatically renew for successive periods of the same duration unless cancelled at least thirty (30) days prior to the renewal date.
- Rate Changes: Pingtree reserves the right to adjust subscription or feature rates. We will provide at least thirty (30) days' notice via the email associated with your account prior to any price increase taking effect.
4. Payment Method Responsibilities
Authorization Warranty: You represent and warrant that you are the authorized user of the credit card or payment account provided.
Accuracy: You must keep your payment information (e.g., expiration date, billing address) current. If a charge is declined, we may suspend all Services until the Wallet is successfully replenished.
PCI Compliance: Pingtree utilizes secure, PCI-DSS compliant third-party processors. We do not store raw credit card numbers on our internal servers.
5. Dispute Resolution and Chargebacks
30-Day Dispute Window: You must notify Pingtree in writing at Accounts@Pingtree.com regarding any billing errors or discrepancies within thirty (30) days of the transaction date. Failure to do so constitutes a waiver of your right to dispute the charge.
Chargeback Policy: Unauthorized chargebacks are a violation of the Platform and User Terms. If you initiate a chargeback for a valid Wallet recharge or subscription fee, Pingtree reserves the right to:
- Immediately terminate your account and access to all data.
- Report the dispute to credit bureaus and third-party collection agencies.
- Assess a dispute fee (typically $50 or the maximum allowed by law) to cover administrative costs.
- Compelling Evidence: In the event of a chargeback, Pingtree will provide the issuing bank with compelling evidence of your usage, including login logs, IP addresses, and timestamps of feature usage associated with the Wallet deductions.
6. Florida State Disclosure
Pursuant to Florida Statutes § 501.165, this automatic renewal and recharge provision is a material term of this agreement. You may cancel your subscription or disable auto-recharge at any time through your account settings or by contacting us at Accounts@Pingtree.com.
